The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on April 24, 2023.

Number of shares:  7,044,460 shares

Purchase price:  25 cents per share

Warrants:  3,522,230 share purchase warrants to purchase 3,522,230 shares

Warrant exercise price:  35 cents for a three-year period

Number of placees:  24 placees

Total existing insider involvement:  180,000 (four insiders)

Finder's fee:  $2,250

The company issued a news release on May 9, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
