The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced July 28, 2023.

Number of units:  1,771,859 non-flow through (NFT) units (Each unit will consist of one non-flow-through common share of the company and one-half non-flow-through common share purchase warrant.)

Number of units:  5,312,500 flow-through (FT) units (Each FT unit will consist of one flow-through common share of the company and one-half flow-through common share purchase warrant.)

Purchase price:  seven cents per unit; eight cents per FT unit

Warrants:  885,930 whole warrants to purchase 885,930 shares; 2,656,250 whole FT warrants to purchase 2,656,250 FT shares

Warrant price:  Each warrant or FT warrant is exercisable at an exercise price of 10 cents for a period of two years from the date of issuance.

Number of placees:  12 placees

Aggregate existing insider involvement:  142,857

Finder's fee:  400,000 units and 600,000 warrants

Finder's warrants terms:  Each warrant entitles the holder to purchase one share at the price of 10 cents for period of two years from the date of issuance.

The company issued a news release on Aug. 16, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
