Plan of arrangement

Pursuant to a special resolution passed by the shareholders of the company on Oct. 24, 2025, the company has completed an arrangement involving Tombador Iron Ltd., a public company listed on the Australian Securities Exchange, by way of a statutory plan of arrangement under the Business Corporations Act (British Columbia). The arrangement resulted in Tombador acquiring all of the issued and outstanding common shares of the company. Company shareholders received 0.2534 of a Tombador ordinary share for each company share.

The exchange has been advised that the Supreme Court of British Columbia granted a final order approving the arrangement on Nov. 5, 2025. The arrangement was completed on Nov. 12, 2025.

Delist

Effective at the close of business on Friday, Nov. 14, 2025, the common shares of GoviEx Uranium Inc. will be delisted from the TSX Venture Exchange.
