The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on May 18, 2023, and June 8, 2023.

Number of shares:  6,221,428 units (Each unit consists of one common share and one common share purchase warrant.)

Purchase price:  14 cents per unit

Warrants:  6,221,428 share purchase warrants to purchase 6,221,428 common shares

Warrant exercise price:  20 cents for a two-year period

Number of placees:  four placees

Total existing insider involvement:  507,142 (two insiders)

Finder's fee:  $60,000

The company issued a news release on June 26, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
