The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Jan. 19, 2024.

Number of shares:  5.8 million charity flow-through shares

Purchase price:  80 cents per charity flow-through share

Warrants:  2.9 million share purchase warrants to purchase 2.9 million shares

Warrant exercise price:  80 cents for a two-year period

Number of placees:  one placee

The company issued a news release on Feb. 8, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
