The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced on Dec. 19, 2023.

Number of shares:  24.5 million shares

Purchase price:  90 cents per share

Number of placees:  one placee

Agents' fees:  $1,323,000 payable to Roth Canada Inc. and Cormark Securities Inc.

The company issued a news release on Jan. 19, 2024, confirming the closing of the private placement.
