GATEKEEPER ANNOUNCES ANNUAL GENERAL MEETING RESULTS

Gatekeeper Systems Inc. shareholders approved all matters at the annual general meeting held on May 8, 2023.

The total number of common shares represented by shareholders present in person and by proxy at the meeting was 16,913,977, representing 18.51 per cent of Gatekeeper's issued and outstanding common shares as of the record date.

All of the matters put forward before shareholders for consideration and approval as set out in the company's notice of meeting and management information circular, dated April 6, 2023, were approved by the requisite majority of votes cast at the meeting. In particular, shareholders approved the re-election of all director nominees to hold office until the next annual meeting of shareholders or until their successors are elected or appointed. Results of the vote for the election of directors at the meeting are set out in the attached table.

Shareholders also approved the following items of business before the meeting:

• Setting the number of directors at four;
• The readoption and reapproval of the company's rolling stock option plan in accordance with the requirements of the TSX Venture Exchange;
• The appointment of Buckley Dodds CPA as auditor of the company for the ensuing year.

The company has granted an aggregate of 2,235,000 incentive stock options to certain directors, officers, employees and consultants of the company, subject to regulatory approval. The stock options are exercisable at a price of 40.5 cents for a period of five years from the date of issuance and subject to vesting provisions.
