GOLDSHORE ANNOUNCES $25 MILLION BOUGHT DEAL PRIVATE PLACEMENT TO DRIVE ON-GOING DEVELOPMENT AT THE MOSS GOLD DEPOSIT

Goldshore Resources Inc. has entered into an agreement with Stifel Nicolaus Canada Inc., as lead underwriter and sole bookrunner, and a syndicate of underwriters to be formed, pursuant to which the company has launched a bought deal private placement for aggregate gross proceeds of $25-million, of:

  • 22,727,272 charity flow-through (CFT) shares at a price of 44 cents per CFT share for total gross proceeds of $10-million;
  • 32,258,064 hard-dollar common shares at a price of 31 cents per common share for total gross proceeds of $10-million;
  • 13,157,894 flow-through (FT) common shares at a price of 38 cents per FT share for total gross proceeds of $5-million.

The FT shares and CFT shares will qualify as flow-through shares within the meaning of the Income Tax Act (Canada).

Gross proceeds from the sale of CFT shares and FT shares will be used to incur eligible Canadian exploration expenses and flow-through mining expenditures, as defined in the act, related to the company's Moss gold project in Ontario, on or before Dec. 31, 2026, and to renounce all the qualifying expenditures in favour of the purchasers of the FT shares and the CFT shares effective Dec. 31, 2025. Eventus Capital Corp. is an adviser to the company.

Specifically, the company intends to use the proceeds from the FT and CFT financings for the following activities:

  • 21,000 metres (m) of tight-spaced grade control drilling to define drill spacing for the infill MRE (mineral resource estimate) conversion drill program and provide sample for feasibility-level metallurgical test work;
  • 7,500 m scout drilling to test district targets generated by the winter drill program;
  • An update to the mineral resource estimate and additional test work to support the continuing PEA (preliminary economic assessment);
  • Continuing environmental baseline costs;
  • Continuing community engagement programs;
  • Additional generative exploration, including bedrock geochemical samples, plus outcrop stripping for mapping and sampling;
  • Field overhead costs.

Michael Henrichsen, chief executive officer of Goldshore, commented: "The gross proceeds from the FT and CFT share sale will be used to advance the Moss gold deposit through a critical phase of development, positioning the company for the release of a preliminary economic assessment (PEA) from G-Mining Services in Q4 of this year, and ultimately driving further derisking and development activities thereafter."

Subject to compliance with applicable regulatory requirements, the CFT shares and the common shares will be offered to purchasers resident in all provinces of Canada (excluding Quebec) pursuant to the listed issuer financing exemption under Part 5A of National Instrument 45-106, Prospectus Exemptions. Offered shares sold pursuant to the listed issuer financing exemption in Canada will not be subject to resale restrictions under applicable Canadian securities laws. The offered shares may be reoffered or resold on a private placement basis in offshore jurisdictions as permitted and in the United States pursuant to an exemption from the registration requirements of the United States Securities Act of 1933, as amended. The FT shares will be offered to purchasers resident in all provinces of Canada (excluding Quebec) pursuant to other applicable exemptions from the prospectus requirements of NI 45-106.

The company has agreed to pay the underwriters a cash commission of 6.0 per cent of the gross proceeds raised under the offering, which shall be reduced to 3.0 per cent for subscribers on the president's list. In connection with the offering, the company will grant the underwriters an option to sell up to an additional 15 per cent of the aggregate amount of offered shares, exercisable, in whole or in part, any time up until 48 hours prior to the closing date of the offering.

The offering is expected to close on or about June 19, 2025, and is subject to the company receiving all necessary regulatory approvals, including the approval from the TSX Venture Exchange.
