The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 2, 2023.

Number of shares:  37.5 million shares

Purchase price:  10 cents per share

Warrants:  37.5 million share purchase warrants to purchase 37.5 million shares

Warrant exercise price:  13 cents for a three-year period

Number of placees:  25 placees

Total existing insider involvement:  3.4 million (seven insiders)

Finder's fee:  1,008,000 units

Finder's unit terms:  1,008,000 finder's units at a deemed price of 10 cents per unit issued to the finder (Each finder's unit consists of one common share and one common share purchase warrant. Each warrant entitles the holder to purchase one common share at the price of 13 cents until Nov. 17, 2026.)

The company issued a news release on Nov. 20, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
