The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 7, 2023.

Number of shares:  6,957,450 shares

Purchase price:  11 cents per share

Warrants:  3,478,721 share purchase warrants to purchase 3,478,721 shares

Warrant exercise price:  18 cents for a one-year period; 18 cents for a two-year period

Number of placees:  14 placees

Total existing insider involvement:  2,136,816 (six insiders)

Total pro group involvement:  2,368,181 (five pro groups)

The company issued a news release on Sept. 25, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
