The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 20, 2023.

Number of shares:  5,656,406 non-flow-through (NFT) units, 4,484,384 charity flow-through (FT) units and 824,000 flow-through shares

Purchase price:  63 cents per NFT unit, $1 per charity FT unit and 67 cents per FT share

Warrants:  5,070,395 share purchase warrants to purchase 5,070,395 shares

Warrant exercise price:  78 cents for a two-year period

Number of placees:  74 placees

Total existing insider involvement:  794,000 (one insider)

Finder's fee:  $320,348.06 cash and 362,723 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 78 cents for period of 18 months from the date of issuance.

The company issued news releases on Oct. 2, 2023, and Oct. 11, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
