The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced June 8, 2023.

Number of shares:  5,172,018 shares

Purchase price:  55 cents per share

Warrants:  2,586,009 share purchase warrants to purchase 2,586,009 shares

Warrant exercise price:  90 cents for a two-year period

Number of shares:  5,908,728 charity flow-through shares

Purchase price:  79.75 cents per share

Warrants:  2,954,364 share purchase warrants to purchase 2,954,364 shares

Warrant exercise price:  90 cents for a two-year period

Number of placees:  26 placees

Total pro group involvement:  2,424,243 (seven pro groups)

Agents' fees:  Research Capital Corp., $161,444.11 cash and 165,020 broker warrants; Beacon Securities Ltd., $53,814.70 cash and 55,007 broker warrants (Each broker warrant is exercisable into one common share at 55 cents for 18 months from issuance.)

The company issued news releases on June 30, 2023, July 7, 2023, and July 12, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
