The Globe and Mail reports in its Monday, March 17, edition that 10 former directors of Gildan Activewear are suing the company for $25.6-million, claiming it failed to pay deferred compensation after they resigned amid an activist shareholder campaign. The Globe's Andrew Willis writes that the lawsuit, filed in Quebec Superior Court by former chairman Donald Berg and nine others, alleges Gildan withheld payouts on deferred share units due to a probe into board decisions related to the chief executive officer succession. Gildan said it plans to make a formal response to the former directors in a court filing. Gildan spent $82-million on lawyers and consultants during a six-month boardroom battle that started in December, 2023, when CEO Glenn Chamandy was ousted. The board appointed former Fruit of the Loom executive Vince Tyra as the new CEO, leading to a conflict with institutional shareholders, including Browning West LP, who wanted Mr. Chamandy reinstated. In May, 2024, Mr. Berg and nine directors resigned from Gildan's board before a shareholder vote that reinstated Mr. Chamandy. Mr. Tyra left the company, and at last year's annual meeting, 84 per cent of shareholders voted to bring back the co-founder.
