The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 28, 2023, and Aug. 30, 2023.

Number of shares:  2.94 million common shares

Purchase price:  five cents per unit

Warrants:  2.94 million whole warrants to purchase 2.94 million shares

Warrant exercise price:  10 cents for a three-year period from the date of issuance, subject to an accelerated expiry

Number of placees:  nine placees

Total existing insider involvement:  1.19 million (four insiders)

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
