The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 12, 2023.

Number of shares:  10,853,334 shares

Purchase price:  six cents per share

Warrants:  5,426,665 share purchase warrants to purchase 5,426,665 shares

Warrant exercise price:  12 cents for a three-year period

Number of shares:  8,186,334 flow-through shares

Purchase price:  7.5 cents per share

Warrants:  4,093,166 share purchase warrants to purchase 4,093,166 shares

Warrant exercise price:  15 cents for a two-year period

Number of placees:  18 placees

Total existing insider involvement:  1.35 million (two insiders)

Finder's fee:  $241,015 cash and 466,200 warrants

Finder's warrant terms:  Each warrant (for the non-flow-through units) entitles the holder to purchase one common share at the price of 12 cents for a period of three years from the date of issuance. Each warrant (for the flow-through units) entitles the holder to purchase one common share at the price of 15 cents for a period of two years from the date of issuance.

The company issued a news release on June 2, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
