The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 16, 2023.

Number of shares:  1,296,666 flow-through shares; 2.7 million non-flow-through units

Purchase price:  six cents per flow-through share; five cents per non-flow-through share

Warrant:  1.35 million share purchase warrants to purchase 1.35 million shares

Warrant purchase price:  eight cents for two years from the date of issuance

Number of placee:  five placees

Total existing insider involvement:  two million non-flow-through units and 166,666 flow-through shares (two insiders)

Finder's fee:  $1,750 cash and 35,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of eight cents for a period of two years from the date of issuance.
