Warrant exercise price:  40 cents for a three-year period

Number of placees:  35 placees

Total existing insider involvement:  690,371 (three insiders)

Total pro group involvement:  480,555 (six pro groups)

Finder's fee:  $10,214.99 and 37,833 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 40 cents for a three-year period.
