Convertible debenture:  $2,711,000 (U.S.) principal amount

Conversion price:  convertible into 10,631,372 common shares at 25.5 U.S. cents until maturity

Maturity date:  Dec. 20, 2026

Interest rate:  10 per cent per annum

Number of placees:  one placee

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company has issued a news release announcing the closing of the private placement and setting out the expiry dates of the hold period.
