The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Nov. 9, 2023.

Convertible debenture:  $2,627,000 (U.S.)

Conversion price:  convertible into units consisting of 10,301,960 common shares at 25.5 U.S. cents per share of principal outstanding

Maturity date:  Dec. 20, 2026

Interest rate:  minimum 10 per cent per annum, subject to maximum an effective interest rate of 24 per cent per annum

Number of placees:  12 placees

Total existing insider involvement:  3,431,372 (one insider)

Finder's fee:  $40,500 (U.S.) and 158,823 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 35 cents for period of three years from the date of issuance.

The company issued a news release on Dec. 20, 2023, confirming the closing of the private placement.
