The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Oct. 6, 2023.

Convertible debenture:  $15-million

Conversion price:  convertible into a maximum of 26,785,715 common shares at 56 cents of principal outstanding

Maturity date:  five years from issuance

Interest rate:  9 per cent per annum

Number of placees:  one placee

Financial adviser fee:  Haywood Securities Inc. received 380,518 shares and a cash fee for acting as financial adviser.

The company issued a news release on Oct. 18, 2023, confirming the closing of the private placement.
