Warrant exercise price:  48.5 cents for a two-year period

Number of placees:  161 placees

Total pro group involvement:  4,212,918 (20 pro groups)

Agents' fees -- cash payments:  Red Cloud Securities Inc. was paid $1,466,996.95. Haywood Securities Inc. was paid $335,953.50. SCP Resource Finance LP was paid $279,961.25. Eight Capital Corp. was paid $156,778.30.

Agents' fees -- broker warrants:  Red Cloud Securities was issued 1,466,997 broker warrants. Haywood Securities was issued 335,954 broker warrants. SCP Resource Finance was issued 279,961 broker warrants. Eight Capital was issued 156,778 broker warrants.

The company issued a news release on Sept. 12, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
