FOCUS GRAPHITE INC. CLOSES $350,200 PRIVATE PLACEMENT

Focus Graphite Inc. has closed a non-brokered private placement for total gross proceeds of $350,200.

As part of the offering, the company issued 1.58 million common shares on a flow-through basis at a price of 19 cents per flow-through share and 294,118 units at a price of 17 cents per unit to accredited investors. Each unit consists of one common share and one common share purchase warrant. Each warrant entitles its holder to purchase one common share at a price of 22 cents per common share until Dec. 21, 2026.

The securities issued in connection with the closing of the offering are subject to a four-month hold period expiring on April 22, 2023.

In connection with the closing of the offering, the company paid a cash finder's fee totalling $21,012 and issued 112,447 warrants. Each finder warrant entitles the finder to purchase one common share at a price of 22 cents per common share until Dec. 21, 2026.

The offering is subject to the final approval of the TSX Venture Exchange.
