The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced Oct. 17, 2023, and Nov. 9, 2023.

Number of shares:  7,481,834 shares

Purchase price:  three cents per share

Warrants:  7,481,834 share purchase warrants to purchase 7,481,834 shares

Warrant exercise price:  five cents for a five-year period

Number of placees:  four placees

Finder's fee:  $5,600 cash and 186,666 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of five cents for period of two years from the date of issuance.

The company issued news releases on Dec. 20, 2023, Jan. 19, 2024, and Feb. 21, 2024, confirming the closing of the private placement.
