FOUNDERS METALS APPOINTS BARRY MACDONALD AS NEW DIRECTOR & ANNOUNCES RESULTS OF AGM

Founders Metals Inc. has appointed Barry Macdonald to the company's board of directors as an independent director.

Founders Metals president and chief executive officer Colin Padget commented: "We are pleased to welcome Barry to Founders' board of directors. His extensive experience in finance and corporate governance will be invaluable as we continue to grow."

Mr. Macdonald is a fellow of the Chartered Professional Accountants of British Columbia and a retired partner at PwC, with over 40 years of experience in strategic governance, international tax, mergers and acquisitions and corporate finance. He is the current board chair of the Simon Fraser University UniverCity Real Estate Trust and Truvera Trust & Mortgage Corp. Mr. Macdonald was the 2018/2019 chair of the board of the Chartered Professional Accountants of British Columbia, where he led its board of 17 directors governing 35,000 members. He is currently the British Columbia executive of the Institute of Corporate Directors.

The company has released the results from the annual general meeting (AGM) held on April 8, 2025, in Vancouver, B.C. Shareholders approved the election of all directors and the new appointment of Mr. Macdonald. The reappointment of MS Partners LLP as the company's auditor and the stock option plan were also approved by shareholders. A total of 41,676,989 shares were voted, representing 41.94 per cent of the company's issued and outstanding common shares at the record date of the AGM.
