The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 7, 2023.

Number of shares:  12,078,334 flow-through units and 9,409,091 hard-dollar units

Purchase price:  six cents per flow-through unit and 5.5 cents per hard-dollar unit

Warrants:  21,487,425 share purchase warrants to purchase 21,487,425 shares

Warrant exercise price:  eight cents for a two-year period

Number of placees:  23 placees

Total existing insider involvement:  1,867,425 (three insiders)

Total pro group involvement:  333,334 (one pro group)

Finder's fee:  $44,670 cash, 454,545 shares and 1,179,545 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 5.5 cents for period of 24 months from the date of issuance.

The company issued a news release on Sept. 29, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
