REMUNERATION FOR FORMER CEO
Following Endeavour Mining PLC's announcement on Jan. 4, 2024, in relation to the termination of Sebastien de Montessus's role with the company, the impact on his remuneration has been determined and uploaded to the company's website and as follows.
Remuneration for former CEO
As announced on Jan. 4, 2024, Mr. de Montessus's position was terminated
as president, chief executive officer and executive director of Endeavour Mining with
immediate effect.
The information required to be made available pursuant to Section 430(2B) of the Companies Act is set out as follows.
In accordance with Mr. de Montessus's service agreement and the director remuneration policy:

Mr. de Montessus will receive no further salary, pension or benefits for the period after his date of
termination and will not be paid any annual bonus in respect of the financial years 2023 or 2024.
- On the date of termination, Mr. de Montessus's unvested share awards over 717,397 shares lapsed in full.
The total value forfeited is $17.6-million (U.S.), based on:
- Mr. de Montessus's expected 2023 annual bonus, which was approximately $2-million (U.S.);

Unvested share awards ($15.6-million
(U.S.)).
In addition, the remuneration committee has exercised its discretion to apply clawback in full to the $10-million (U.S.) one-off award granted to Mr. de Montessus in 2021 and the $1.5-million (U.S.) cash portion of the bonus
received for 2022. Part of the $11.5-million (U.S.) will be set off against Mr. de Montessus's remaining vested 2020
LTIP (long-term incentive program) award and the vested portion of his 2021 LTIP award (worth approximately $8.8-million (U.S.) in aggregate based on
yesterday's share price) and he will be required to repay the remainder.
The total value of remuneration forfeited and being clawed back is $29.1-million (U.S.).
Details will be disclosed in the director remuneration report within the company's annual report and
accounts for the year ended Dec. 31, 2023.
