--->nto a non-binding letter of intent (the "LOI") with an independent third party with respect to the proposed acquisitio
--->n of a private school (JK-G8) that is located in Greater Toronto Area (the "Proposed Acquisition"). Upon completion o
--->f the Proposed Acquisition, the Company will own and operate its first full-time private school in the Greater Toronto
---> Area.

--->diligence by the Company, execution of a definitive agreement that must be approved by the Board of Directors of the C
--->ompany, as well as any required regulatory approvals.
