DYNACERT ANNOUNCES REPRICING OF WARRANTS AND CONVERTIBLE NOTE

Subject to acceptance by the Toronto Stock Exchange, DynaCERT Inc. intends to amend the exercise price of an aggregate of 4,166,667 outstanding common share purchase warrants of the company that were issued as part of a private placement that closed on Oct. 9, 2024, and to amend the conversion price and maturity date of the $1-million convertible note issued on the same date as part of the same private placement.

The warrants have a current exercise price of 28 cents and an expiry date of Oct. 9, 2026, and the company intends to amend the exercise price to 20 cents and the expiry date to Oct. 9, 2027, following receipt of TSX acceptance of the proposed repricing of the warrants. All other terms of the warrants will remain the same.

The note has a current conversion price of 24 cents and a maturity date of Oct. 9, 2025, and the company intends to amend the conversion price to 15 cents (the effect of which shall be to increase the number of common shares issuable upon conversion from 4,166,667 to 6,666,667) and to extend the maturity date to Oct. 9, 2026, following receipt of TSX acceptance of the proposed repricing and extension of the note. All other terms of the note will remain the same.
