The TSX Venture Exchange has accepted for filing documentation pertaining to a licence agreement dated May 10, 2024, between the company and a non-arm's-length party, whereby the company has access to D'ONT Poke The Bear brand intellectual property (the DPTB IP), including the trademarks, in order to market, distribute and sell any product that incorporates any part of the DPTB IP, which was approved by the company's majority shareholders at special meeting held on Dec. 22, 2025.

Under the terms of the agreement, the company has obtained the rights in exchange for a 10-per-cent royalty cash payment of the net revenue on all products sold under DPTB IP worldwide.

Additionally, the company has a right to acquire the DPTB IP from the licensor at a price that is the greater of $1.7-million in cash or six times the EBITDA (earnings before interest, taxes, depreciation and amortization), as such term is defined in the agreement, provided the Licensor decides to sell DPBT IP to a third party or the company undergoes a change of control.

Alternatively, if the rights are terminated after the first five-year term, the company may acquire the DPTB IP at $1.7-million and, if the rights are not extended after 10th anniversary of the agreement's effective date, for $3.5-million payment.
