The TSX Venture Exchange has accepted for filing documentation in connection with an arrangement agreement dated Dec. 7, 2025, among Dolly Varden Silver Corp., Contango ORE Inc. and 1566004 B.C. Ltd., an indirect wholly owned subsidiary of Contango (Contango Sub), under the provisions of the Business Corporations Act (British Columbia).

Pursuant to the plan of arrangement, shareholders of the company received 0.1652 of a share of voting common stock of Contango or, if so elected by an eligible Canadian holder, 0.1652 of an exchangeable share of Contango Sub for each common share of the company held.

The exchange has been advised that approval of the plan of arrangement by the company's shareholders was received at a special meeting of shareholders held on March 17, 2026, and that the final court order approving the plan of arrangement was received from the Supreme Court of British Columbia on March 23, 2026. The plan of arrangement was completed on March 26, 2026.

Delisting

In connection with the completion of the plan of arrangement, the company will be delisted from the exchange. Accordingly, effective at the close of business, Friday, March 27, 2026, the common shares of the company will be delisted at the request of the company.
