DATAMETREX ANNOUNCES NON-BROKERED PRIVATE PLACEMENT FINANCING

Datametrex AI Ltd. is undertaking non-brokered private placement financing of up to $3-million with an offering of up to 37.5 million common shares at a price of eight cents per common share, subject to TSX Venture Exchange acceptance.

The gross proceeds of the private placement will be used for expansion of the company's health care product offering, relocation of two health care clinics and general working capital.

In connection with the private placement, the company may pay finders' fees of up to 10 per cent cash and up to 10 per cent brokers' warrants of the aggregate proceeds raised in the private placement.

The closing of the private placement is subject to certain standard conditions, including, but not limited to, the acceptance of the TSX-V.

All securities that are issued pursuant to the private placement will be subject to a hold period of four months and one day, in accordance with applicable Canadian securities laws. The private placement will not result in the creation of a new control person of the company.
