DEFENSE METALS REPORTS 2023 ANNUAL GENERAL AND SPECIAL MEETING RESULTS

All matters submitted to the shareholders for approval as set out in Defense Metals Corp.'s notice of meeting and information circular, were approved by the requisite majority of votes cast at the annual general and special meeting of shareholders held on Dec. 15, 2023, including fixing the number of directors at eight, electing each of Craig Taylor, Luisa Moreno, Andrew Burgess, William Bird, Dale Wallster, Len Clough, Martin Cronin and Ted Kavanagh as directors of the company to hold office for the ensuing year, appointing Crowe MacKay LLP as the company's auditor for the ensuing year and authorizing the board of directors to set its remuneration, and approving the company's stock option plan.

The company also announces the granting of incentive stock options to certain of its directors, officers and consultants to purchase up to an aggregate 5.7 million common shares of the company at a price of 16 cents per common share for a period of three years. Two hundred thousand options granted to Bluesky Corporate Communications Ltd. will vest in stages over a period of 12 months in equal portions every three months starting three months after the date of grant. The remaining options vest on the date of grant.
