The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on April 27, 2023.

Number of shares:  48,076,923 shares

Purchase price:  26 cents per share

Number of placees:  62 placees

Total pro group involvement:  4.48 million (five pro groups)

Finder's fee:  $211,055.88 cash and 2,311,753 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 32 cents for period of two years from the date of issuance.

The company issued a news release on May 25, 2023, confirming the closing of the private placement.
