The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 14, 2023.

Number of shares:  10,999,998 flow-through shares; 1.65 million non-flow-through shares

Purchase price:  24 cents per flow-through share; 20 cents per non-flow-through share

Warrants:  12,649,998 share purchase warrants to purchase 12,649,998 shares

Warrant exercise price:  10,999,998 flow-through warrants and 1.65 million non-flow-through warrants at 32 cents for two years

Number of placees:  20 placees

Total existing insider involvement:  1,904,499 (two insiders)

Finder's fee:  $200,020 cash and 832,433 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 24 cents for period of two years from the date of issuance.

The company issued news releases on Sept. 13, 2023, and Sept. 19, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
