The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 6, 2023.

Number of shares:  2,486,000 flow-through shares

Purchase price:  11 cents per flow-through share

Warrants:  2,486,000 share purchase warrants to purchase 2,486,000 shares

Warrant exercise price:  13.5 cents for a two-year period from the date of issuance

Number of placees:  five placees

Finder's fee:  $20,645,000 cash and 187,680 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 13.5 cents for period of two years from the date of issuance.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
