The TSX Venture Exchange has accepted for filing several arm's-length transactions by the company, executed through its wholly owned subsidiary, Crown Point Energia S.A. Specifically, Crown Point has acquired from Tecpetrol S.A.'s the 100-per-cent-owned interests, rights and obligations in the El Tordillo, La Tapera and Puesto Quiroga hydrocarbon exploitation concessions in the Chubut province of Argentina (the Chubut concessions) for a cash consideration of $40-million (U.S.) plus $7,447,000 (U.S.) for inventory, subject to price adjustments. Furthermore, Crown Point has acquired all of Tecpetrol's interest in Terminales Maritimas Patagonicas S.A. (TerMaP), representing 4.2 per cent of TerMaP's total shares, for an additional $1.89-million (U.S.).
Additionally, Crown Point has also acquired 100 per cent of YPF S.A.'s interests, rights and obligations in the Chubut concessions for $5,521,220.56 (U.S.) plus $1,028,038.41 (U.S.) for inventory, subject to price adjustments.
Finally, Crown Point has acquired 100 per cent of Azruge S.A.'s contractual position under the PAMPA agreement, which relates to Pampa Energia S.A.'s percentage interest in the Chubut concessions, for a cash consideration of $300,000 (U.S.) plus a contingent cash consideration payable to Pampa of up to $3.5-million (U.S.), calculated based on the monthly average of natural gas sales.
