The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 18, 2023, and amended on Aug. 28, 2023.

Number of shares:  9,390,050 shares

Purchase price:  20 cents per share

Warrants:  4,695,025 share purchase warrants to purchase 4,695,025 shares

Warrant exercise price:  25 cents during the first 12-month period; 30 cents during the second 12-month period

Number of placees:  21 placees

Aggregate existing insider involvement:  four insiders, 6.3 million shares

The company issued a news release on Sept. 8, 2023, confirming closing of the private placement.
