CURALEAF ANNOUNCES CLOSING OF C$16 MILLION UNDERWRITTEN OFFERING OF SUBORDINATE VOTING SHARES

Curaleaf Holdings Inc. has closed its previously announced marketed offering of subordinate voting shares for total gross proceeds to the company of $16.2-million.

The offered securities were offered in each of the provinces of Canada, other than Quebec, pursuant to a prospectus supplement dated Sept. 28, 2023, to the company's base shelf prospectus dated Dec. 30, 2022, and in the United States on a private placement basis to qualified institutional buyers pursuant to exemptions from the registration requirements of the U.S. Securities Act of 1933, as amended, and applicable state securities laws.

Canaccord Genuity acted as the sole underwriter and bookrunner for the offering.

The company made the offering: (i) to satisfy a condition required for a potential listing of the subordinate voting shares on the Toronto Stock Exchange and plans to use a portion of the proceeds of the offering to finance working capital requirements of its international business operated by Curaleaf Holdings International; and (ii) for general corporate purposes of the company.
