CUBICFARM SYSTEMS CORP. ANNOUNCES TERMINATION OF INVESTORS RELATIONS AGREEMENT

Cubicfarm Systems Corp. has terminated its agreement for the provision of financial advisory and investor relations services with Planet Ventures Inc. (PVI).

Pursuant to a private placement of common share units that the company closed on March 15, 2023, PVI subscribed for 1.55 million units of the company, as further described in the company's news release dated March 18, 2024, at an issue price of 20 cents per unit for aggregate gross proceeds of $310,000. PVI paid the subscription price to the company on March 13, 2024. Under the agreement, which was made on March 15, 2024, the company paid PVI an upfront fee of $200,000 plus GST (goods and services tax) in compensation for the services under the agreement to be provided from April 2, 2024, to April 30, 2025.

The company terminated the agreement on April 12, 2024, as it was not approved by the TSX Venture Exchange due to the payment of the upfront fee and PVI's participation in the company's private placement. PVI has refunded the full amount of the upfront fee to the company.
