CUBICFARM SYSTEMS CORP. ANNOUNCES EXTENSION OF PRIVATE PLACEMENT

Cubicfarm Systems Corp., further to its press release dated Feb. 12, 2024, has received an extension from the TSX Venture Exchange with respect to the closing of the second tranche of its previously announced non-brokered private placement of up to 10.25 million units at a price of 20 cents per unit for gross proceeds of up to $2.5-million. Each unit will consist of one common share of the company and one-half of one common share purchase warrant. Each whole warrant will entitle the holder thereof to acquire one common share of the company at an exercise price of 25 cents per common share for a period of 24 months from the date of issuance.

The second tranche of the private placement is expected to close on or about March 15, 2024.

Completion of the private placement remains subject to the receipt of all necessary regulatory approvals, including the approval of the TSX-V.
