The Toronto Stock Exchange reports that cumulative redeemable second preferred shares, Series JJ, of Canadian Utilities Ltd. will be listed at 5:01 p.m. on Nov. 26, 2025, for trading at the open on Nov. 27, 2025, under the symbol CU.PR.K and with Cusip No. 136717 57 6. According to the TSX, the listing will cover 8.05 million Series JJ shares to be issued at $25 per share in a public offering, pursuant to the terms of the short form prospectus dated Nov. 25, 2025.
The offering is expected to close before the open on Nov. 27, 2025. The transfer agent and registrar is TSX Trust Company at its principal offices in Calgary and Toronto, and the designated market-maker is CIBC World Markets Inc. Quarterly dividends will be paid on the Series JJ shares on the first day of March, June, September and December of each year at $1.40 per share per year. If declared, the initial dividend payment of 36.0555 per Series JJ share will be made on March 1, 2026.
The TSX reports that the Series JJ shares are not redeemable before March 1, 2031. On or after March 1,
2031, the company may, on not less than 30 nor more than 60
days of notice, redeem the Series JJ shares in whole or in part,
at the company's option, by the payment in cash of: $26 per
Series JJ share if redeemed on or after March 1, 2031, and prior
to March 1, 2032; at $25.75 per Series JJ share if redeemed
on or after March 1, 2032, and prior to March 1, 2033; at $25.50
per Series JJ share if redeemed on or after March 1, 2033, and
prior to March 1, 2034; at $25.25 per Series JJ share if
redeemed on or after March 1, 2034, and prior to March 1, 2035;
and at $25 per Series JJ share if redeemed on or after
March 1, 2035, in each case together with all accrued and
unpaid dividends up to but excluding the date fixed for
redemption.
