CRITICAL INFRASTRUCTURE TECHNOLOGIES EXECUTES STRATEGIC MOU WITH LEADING POLISH DEFENCE AND INDUSTRIAL PARTNERS FOR NEXUS

Critical Infrastructure Technologies Ltd. has executed a memorandum of understanding with Wojskowe Zaklady Motoryzacyjne SA and H. Cegielski-Poznan SA, establishing a strategic framework for the development, localization and commercialization of CiTech's Nexus 20 autonomous platform in Poland and across agreed markets in Central and Eastern Europe.

The MOU, dated Sept. 9, 2026, builds on the letter of intent entered into by the parties on Feb. 18, 2026, and represents a significant step forward in CiTech's strategy to establish a long-term industrial and market presence in Poland.

Under the MOU, CiTech and the Polish partners intend to work together to develop Poland as a manufacturing, assembly, integration, maintenance and support base for Nexus 20 platforms while supporting opportunities with the Polish Armed Forces and other approved customers across Poland, Central and Eastern Europe, and the broader North Atlantic Treaty Organization Eastern Flank.

The strategic co-operation is intended to include:

• Local assembly and integration of Nexus 20 platforms in Poland;
• Integration of communications, surveillance and other mission-specific systems;
• Testing, quality assurance and commissioning;
• Maintenance, repair, overhaul and life cycle support;
• Development of Polish sourcing and supply chain capability;
• Appropriate technology transfer, technical training and know-how, subject to applicable regulatory and export control requirements; and
• Co-ordinated engagement with government, defence industry and prospective customers.

The parties will also co-operate in identifying and pursuing suitable commercial opportunities, including customer demonstrations, tender and procurement processes, government and defence industry engagement, and participation in major industry events.

Nexus 20 platform in Poland

A Nexus 20 platform is already located in Poland, and is intended to serve as an important technical demonstration, evaluation and market development asset. Under the MOU, the parties intend to co-operate on engineering access, equipment integration, technical familiarization, approved demonstrations and subsequent deployment opportunities.

The parties also intend to establish a joint working group to co-ordinate technical, industrial and commercial activities, maintain an implementation road map, monitor agreed milestones, and support engagement with customers, government and the defence industry.

Pathway to definitive agreements

The MOU establishes a pathway toward the negotiation and execution of three definitive commercial agreements:

1. Sales and marketing agreement: to govern the promotion, marketing and sale of Nexus 20 platforms and associated products and services in agreed territories and customer segments;
2. Manufacturing agreement: to govern the localization, manufacture, assembly, integration and testing of Nexus 20 platforms in Poland, including manufacturing responsibilities, technology transfer, local sourcing, production readiness and quality requirements;
3. Maintenance and support agreement: to establish local capability for maintenance, repair, technical support, spare parts, training and life cycle sustainment of Nexus 20 platforms.

Working with established Polish industrial partners provides CiTech with a pathway to localize the manufacture, integration and life cycle support of Nexus 20 while remaining close to our end customers.

Next steps

The parties intend to progress through a phased implementation program covering technical engagement, market demonstrations, industrialization planning and negotiation of the three definitive agreements.

The MOU is intended to guide co-operation while the definitive agreements are negotiated.
