CRITICAL INFRASTRUCTURE TECHNOLOGIES LTD. ANNOUNCES ADOPTION OF 2026 EQUITY INCENTIVE PLAN

The board of directors of Critical Infrastructure Technologies Ltd. authorized the adoption of an equity incentive plan of the company on March 24, 2026. Pursuant to Section 6.5(4) of Policy 6 of the CSE, the plan was approved by 50 per cent of the company's shareholders by consent resolution on April 1, 2026. Under the 2026 equity incentive plan, the aggregate number of common shares that may be reserved for issuance, and conditionally allotted and issued, to eligible participants under the 2026 equity incentive plan, shall not exceed 15 per cent of the issued and outstanding common shares of the company at the time of any grant thereunder. Also, any optionholder will have the option to exercise their incentive stock options through cashless exercise.
