CRITICAL INFRASTRUCTURE TECHNOLOGIES LTD. ANNOUNCES CLOSING OF OVER-SUBSCRIBED NON-BROKERED PRIVATE PLACEMENT AND SHARES FOR DEBT SETTLEMENT

Critical Infrastructure Technologies Ltd., further to its news release dated Aug. 12, 2026, has closed the previously announced non-brokered private placement financing by the issuance of 13,056,000 units of the company at a price of eight cents per unit for aggregate gross proceeds of $1,044,480. Each unit consists of one common share in the capital of the company and one common share purchase warrant, with each warrant exercisable until Sept. 4, 2028, at an exercise price of 14 cents per share. The units and shares issuable upon exercise of the warrants sold pursuant to the offering will be subject to a four-month hold period expiring Jan. 5, 2027, pursuant to securities laws in Canada. The offering was oversubscribed by aggregate gross proceeds of $44,480.

The company intends to use the net proceeds of the offering for general working capital and the settlement of bona fide debt.

The closing of the offering is subject to certain conditions including, but not limited to, the submission of all required forms to the Canadian Securities Exchange.

Debt settlement

The company also announces that it has settled debts of the company in the aggregate amount of $1,205,520 relating to certain payments owed to Brenton Scott, the chief executive officer, president and director of the company, to Andrew Hill, a director of the company, and to certain creditors by issuing an aggregate of 15,069,000 units of the company at a deemed price of eight cents per settlement unit. Each settlement unit will be composed of one share and one common share purchase warrant, with each settlement warrant exercisable for a period of 24 months from the date of issuance at an exercise price of 14 cents per share. The settlement units and shares issuable upon exercise of the settlement warrants will be subject to a four-month hold period pursuant to securities laws in Canada.

The company relied on the exemptions from the formal valuation and minority approval requirements of Multilateral Instrument 61-101 -- Protection of Minority Security Holders in Special Transactions as the fair market value of the consideration paid in connection to the debt settlements to related parties of the company did not exceed 25 per cent of the company's market capitalization.
