CONSTELLATION SOFTWARE INC. ANNOUNCES U.S.$1 BILLION PRIVATE OFFERING OF SENIOR NOTES

Constellation Software Inc. has priced a private offering of $500-million (U.S.) aggregate principal amount of 5.158 per cent senior notes due 2029 and $500-million (U.S.) aggregate principal amount of 5.461 per cent senior notes due 2034. The notes will be senior unsecured obligations of the company and will rank equally in right of payment to all of the company's existing and future senior unsecured indebtedness, including its amended and restated credit facility agreement announced on Jan. 31, 2024. The notes will be guaranteed by certain subsidiaries of the company on the same basis as such subsidiaries have guaranteed the credit facility.

The offering is expected to close on or about Feb. 16, 2024, subject to satisfaction of customary closing conditions.

The company intends to use the net proceeds from the offering to pay down the amount outstanding under the credit facility and for general corporate purposes, including to finance acquisitions.
