The Toronto Stock Exchange reports that Constellation Software Inc. is issuing one right per share held on Sept. 1, 2023. According to the TSX, 3.03 rights will entitle the holder to subscribe for $100 principal amount of unsecured subordinated floating rate debentures, Series 1, of the company, at a price of $133 per $100 principal amount of debentures purchased, plus accrued interest in the amount of 21.7 cents per $100 principal amount of debentures purchased before the expiry time.

The TSX reports that the shares of the company will trade ex rights at the open on Aug. 31, 2023. At the same time, the rights will begin trading on the TSX under the symbol CSU.RT and Cusip No. 21037X 14 2. The rights will expire at 4:30 p.m. Toronto time on Sept. 29, 2023, and will be delisted from the TSX at the close on the same day.

The TSX notes that the designated market-maker is RBC Capital Markets. Fractional Series 1 debentures will not be issued upon the exercise of rights. Each holder of a rights DRS advice that evidences a number of rights not evenly divisible by 3.03 will have the principal amount of Series 1 debentures it is entitled to subscribe for rounded down to the next nearest multiple of $100.

Trades on Sept. 27, 2023, will settle on Sept. 28, 2023, trades on Sept. 28, 2023, will settle on Sept. 29, 2023, and trades from the open to 12 p.m. Toronto time on Sept. 29, 2023, will settle on the same day. The Series 1 debentures are currently listed and posted for trading on the TSX under the symbol CSU.DB.
