COPPERLEAF ANNOUNCES RESULTS OF ANNUAL MEETING OF SHAREHOLDERS

Copperleaf Technologies Inc. held its annual meeting of shareholders earlier today and that all matters put forward before shareholders for consideration and approval as set out in the company's management information circular dated May 3, 2023, were approved by the requisite majority of votes cast at the meeting. In particular, shareholders approved the election of all director nominees, and the appointment of KPMG as the company's auditor. A total of 45,025,652 shares, representing 62.62 per cent of the total shares outstanding, were represented in person or by proxy at the meeting.

The board of directors of the company is shown in the attached table.

Final voting results of all matters voted on at the meeting will be made available on SEDAR.
