The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 17, 2023.

Number of shares:  14.72 million non-flow-through (NFT) shares and 18.84 million flow-through (FT) shares

Purchase price:  2.5 cents per NFT and FT share

Warrants:  24.14 million share purchase warrants to purchase 24.14 million shares

Warrant exercise price:  10 cents for a two-year period, as to 9.42 million warrants; 10 cents for a three-year period, as to 14.72 million warrants

Number of placees:  20 placees

Aggregate existing insider involvement:  three insiders, 1.24 million FT shares and 800,000 NFT shares

Finder's fee:  $21,700, 308,000 NFT shares, 1,484,000 warrants

Finder's warrants terms:  Each non-transferable warrant entitles the holder to purchase one common share at the price of 10 cents for period of three years from the date of issuance.

The company issued news releases on Dec. 15, 2023, and Dec. 29, 2023, confirming closing of the private placement.
