The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 21, 2023.

Number of shares:  one million shares

Purchase price:   50 cents per share

Warrants:  500,000 share purchase warrants to purchase 500,000 shares

Warrant exercise price:  75 cents for a two-year period

Number of placees:  two placees

Aggregate existing insider involvement:  two insiders, one million shares

The company issued a news release on Aug. 25, 2023, confirming closing of the private placement.
