The TSX Venture Exchange has accepted for filing documentation pertaining to an implementation agreement dated Jan. 6, 2025, between the company and Noble Mineral Exploration Inc. (the JV partner and collectively with the company, parties), whereby the company and JV partner will create a joint venture (the JV).

Under the terms of the agreement, the company and the JV partner established the JV on the following terms: (i) created an ExploreCo, the joint venture entity, (ii) transferred of the parties' respective rights, title and interest in the Mann property to ExploreCo, (iii) transfer of the company's and JV partners additional properties totalling approximately 42,000 hectares to ExploreCo, and (iv) retention by the JV partner of the exploration rights. Upon transfer of the listed properties to and from the company, 80 per cent of the ExploreCo will be controlled by the company and 20 per cent by the JV partner. The company will issue 162,000 common shares to the JV partner and pay $150,000 in cash for the properties obtained. Additionally, the company is required to contribute $5-million in exploration financing to ExploreCo without diluting the JV partner's interest.
